• 與業務團隊合作，協助開發新業務模式，解決法律障礙，推動業務發展。

• Draft, review, and negotiate a wide range of legal documents, including term sheets, investment agreements, shareholder agreements, and transactional documents.
• Provide legal advice throughout the investment lifecycle and support the Management for substantial business transactions, M&A cases, etc. 
• Participate in the development and implementation of internal policies, procedures, and best practices to enhance legal and operational efficiency.
• Conduct legal research and analysis to stay abreast of relevant laws, regulations, and industry trends impacting the biotechnology and investment landscape.
• Assist in IP protection, including the identification, assessment, protection, licensing, and maintenance of intellectual property assets.

• Cover legal documentation and legal issues for General Banking and Corporate Finance work
• Review, draft, handle, and negotiate financing, trade, and general banking legal documentation, including but not limited to facility letters, general loan agreements, guarantees, and security documents.
• Work on complex and sophiscated corporate finance and structured trade financing documentation (including renewalbe energy financing and real assets financing), and able to work with business team to do external legal opinions review on project and customized basis.
• Assist Head of Legal Taiwan in providing broad legal advice to top management and legal risk management.

• Preparing, drafting, and negotiating various legal documents, especially long agreements in English (e.g., supply agreement, MSA, distribution agreement, license agreement).
• Analyzing law-related issues, evaluating risk factors regarding business decisions or operations, and reviewing the organization's current or proposed activities to ensure compliance with all relevant laws and regulations.
• Providing accurate, timely, and well-reasoned advice and guidance on legal matters.
• Evaluating potential M&A targets, doing due diligence, drafting and reviewing non-binding LOI, bid letter, share purchase agreement, and asset purchase agreement.
• Coordinating with outside counsel and liaising with them on a project or regulatory basis.
• Assuming other duties and responsibilities as assigned.
